Mergers & Acquisitions
The five BEECHCROFT directors all have backgrounds of working in big firm corporate finance teams and have collectively over sixty years' experience of providing mergers and acquisitions advice.

BEECHCROFT is organised to offer this experience to clients looking for support with small to medium-sized transactions (£1 to £30 million) where senior advisors from the large merchant banks and accountants are typically not available. We offer the best quality advice available to companies, institutions or individuals needing support for such transactions.

Since November 1996, when BEECHCROFT began trading in its current form we have successfully completed many M&A transactions. As a result, we have been ranked in league tables published by Acquisitions Monthly, both among the top ten independent corporate finance houses advising on deals in Europe and among the top twenty of all advisors (including major merchant banks and accountants) in Spain.

A notable feature of the deals we have completed has been that the results have exceeded clients' expectations.

The expertise we offer includes advising both prospective sellers and buyers of companies and businesses as well as facilitating joint ventures. An essential element of this is the high degree of confidentiality we offer our clients. The services we provide cover the following aspects of transactions to both sellers and buyers:

I. Preparation for the transaction

  • Review and appraisal of the target company's business;
  • Advice on any reorganisation needed prior to a deal;
  • Assistance with the preparation of a business plan; and
  • Assistance with raising finance required (applicable only to advising buyers)
II. Handling the deal process
  • Preparation of a descriptive memorandum;
  • Identification of prospective purchasers (applicable only to advising sellers);
  • Approaches to short-listed candidates in confidence;
  • Leading the negotiation process;
  • Co-ordination of the due diligence and documentation;
  • Co-ordination of the Client's other advisors;
  • Advice on the optimum price and deal structure; and
  • Advice up to the completion of the deal.

"Beechcroft acted as my advisor in a number of transactions, including the renegotiation of the bank debt of my holding company, the restructuring of the operations of certain subsidiary companies and finally the realisation of my investments in five of my group's businesses for values ranging from $2 million to $50 million. This involved taking responsibility for the whole process and representing me in negotiations with complete discretion. Beechcroft succeeded in completing the transactions, dealing with both trade purchasers and private equity investors from our home markets and overseas, and achieved prices in excess of the targets we had set."
Bartolome Parera: Owner of a group of companies in Spain and Switzerland.

"Beechcroft advised the DSB Special Batteries management team (who had previously acquired the business from Duracell Batteries in 1993) when we sold the business to AEA Technology plc in March 1998 for £4 million plus a performance related earn-out. They provided valuable, commercial, imaginative and friendly advice and helped structure and negotiate a deal that was profitable for the MBO team, including a continuing role and financial interest in the business."
Steve Boyes: Managing Director, AEA Technology Battery Systems
